BahiFlow — Terms of Service

These Terms of Service ("Terms") govern your use of the BahiFlow platform operated by OTD Business Solutions LLP ("Company", "we", "us"). By using BahiFlow, you ("Subscriber", "you") agree to these Terms.
1. Service Description
BahiFlow is an automated B2B collections engine that sends payment reminders to your customers via WhatsApp on your behalf. The service includes:
- Automated multi-tier payment reminders (6 escalation tiers over 35+ days)
- Customer payment tracking (PAID, DISPUTED, COMMITTED statuses)
- Payment links via Razorpay and UPI deep links
- Daily summary reports and morning action reports
- Weekly recovery analytics
- Invoice dispute handling and customer commitment tracking
- Payment plans for high-value invoices
- Hold/pause functionality for individual customer accounts
Important: BahiFlow is a technology platform for payment reminder automation. We are not a debt collection agency, financial institution, or legal recovery service. We do not provide legal advice, take legal action against your customers, or guarantee payment recovery.
2. Eligibility
BahiFlow is available to businesses registered in India. By subscribing, you represent that:
- You are a legally constituted business entity or sole proprietor.
- You have the authority to bind the business to these Terms.
- The invoices you upload represent genuine, undisputed commercial transactions.
- You have an existing business relationship with the customers whose data you upload.
3. Free Trial
New subscribers receive a 30-day free trial with full access to all features. During the trial:
- No payment is required.
- No commission is charged on recovered amounts.
- Trial begins on the date of WhatsApp onboarding.
- At the end of the trial, you will be prompted to select a paid plan. If you do not select a plan, reminders will be paused.
4. Pricing & Billing
4.1 Platform Fee

4.2 Commission
A 1.5% commission is charged on amounts recovered through the platform, in addition to the platform fee. Commission is calculated on confirmed payments only.
4.3 Billing Cycle
- Billing is anniversary-based — your billing date is determined by your subscription start date, not a fixed calendar date.
- The annual platform fee is paid upfront; commission invoices are generated monthly.
- Billing invoices are sent via WhatsApp with a Razorpay payment link.
4.4 Payment Terms
- Billing invoices are due upon receipt.
- Unpaid invoices trigger escalation reminders at 3, 6, and 9 days.
- Continued non-payment beyond 9 days may result in service suspension (pausing of all reminders).
5. Cancellation & Refunds
- You may cancel your subscription at any time by contacting us.
- Upon cancellation, your service continues until the end of the current billing period (your service end date).
- After the service end date, all automated reminders are paused.
- No refunds are provided for partially used billing periods.
- Reactivation is available by contacting us, subject to payment of any outstanding invoices.
6. Data Responsibilities
You (the Subscriber) are the Data Fiduciary / Controller for your customers' personal data (names, phone numbers, invoice details). You are responsible for having a lawful basis to share this data with us.
We (OTD Business Solutions LLP) act as a Data Processor on your behalf. We process your customers' data solely for the purpose of sending payment reminders and tracking collections, as instructed by you.
Your obligations as Data Fiduciary:
- Ensure you have the right to share your customers' contact information with us.
- Ensure the invoice data you upload is accurate and represents legitimate business transactions.
- Respond promptly to any data subject requests (access, correction, erasure) that we forward to you regarding your customers' data.
- Notify us if a customer withdraws consent, so we can cease processing their data.
7. Acceptable Use
You agree not to use BahiFlow to:
- Send reminders for fraudulent, fabricated, or disputed invoices that you know to be illegitimate.
- Harass, threaten, or intimidate your customers beyond the automated reminder tiers.
- Upload data of individuals with whom you do not have an existing business relationship.
- Circumvent the opt-out mechanism (customers who reply STOP must be respected).
- Use the platform for personal debt collection, consumer lending recovery, or any purpose other than B2B commercial collections.
- Violate any applicable law, including the DPDP Act, IT Act, or WhatsApp Business Policy.
8. WhatsApp Compliance
BahiFlow sends messages through the official WhatsApp Business API. Both you and we are bound by Meta's WhatsApp Business Policy and Commerce Policy. In particular:
- We honour all opt-out requests (STOP/UNSUBSCRIBE keywords).
- First-contact messages include a consent line ("Reply YES to confirm or STOP to opt out").
- We do not send messages outside the 24-hour messaging window without approved templates.
- If Meta suspends our WhatsApp Business account due to your misuse, you will be liable for any resulting damages.
9. Limitation of Liability
- BahiFlow is provided "as is" without warranties of any kind, express or implied.
- We do not guarantee that your customers will pay their invoices, respond to reminders, or engage with the platform.
- We are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the service.
- Our maximum aggregate liability to you for any claims arising from these Terms shall not exceed the total fees paid by you to us in the 12 months preceding the claim.
- We are not responsible for WhatsApp delivery failures, Razorpay payment processing errors, or any third-party service outages beyond our reasonable control.
10. Intellectual Property
All intellectual property in the BahiFlow platform — including software, algorithms, reminder templates, escalation logic, and branding — belongs to OTD Business Solutions LLP. Your subscription grants you a non-exclusive, non-transferable, revocable license to use the platform during the subscription period.
You retain all rights to your business data (invoices, customer information) uploaded to the platform.
11. Indemnification
You agree to indemnify and hold harmless OTD Business Solutions LLP, its partners, employees, and agents from any claims, losses, or damages (including legal fees) arising from:
- Your breach of these Terms.
- Your violation of any applicable law or third-party rights.
- The accuracy and legitimacy of the invoice data you upload.
- Any dispute between you and your customers regarding the underlying invoices.
12. Dispute Resolution
Any dispute arising from or relating to these Terms shall be resolved as follows:
- Negotiation: The parties shall first attempt to resolve the dispute amicably through good-faith negotiation within 30 days.
- Arbitration: If negotiation fails, the dispute shall be referred to a sole arbitrator appointed mutually, under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bengaluru, Karnataka. The language of arbitration shall be English.
13. Governing Law
These Terms are governed by the laws of India. Subject to the arbitration clause above, any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.
14. Modifications to These Terms
We may modify these Terms with at least 30 days' advance notice sent via WhatsApp and/or email. Continued use of BahiFlow after the notice period constitutes acceptance. If you do not agree with the modified Terms, you may cancel your subscription before they take effect.
